The Lead
Southern Glazer's has reached a settlement with the FTC over allegations that the distributor engaged in price discrimination, closing a 2024 lawsuit that claimed Southern violated the Robinson-Patman Act by extending discounts and rebates to large retailers that smaller competitors couldn't access. The proposed order, still pending approval from a district court judge, lasts six years, covers nearly all of Southern's wine and spirits sales to the five biggest chain retailers across 26 states, and brings in an independent monitor. It focuses on "paired" transactions, where Southern sells a product to a chain retailer at one price while selling the same item to a nearby independent retailer at a markedly higher price. When a set of paired transactions crosses the order's thresholds, either exceeding a state-specific cap tied to operating costs or topping $5,000 in recurring discrimination over 12 months, Southern can settle by paying the independent retailer 1.5 times the full aggregated price difference.
Federal agencies could treat the Southern Glazer's Wine & Spirits bribery investigation as a "template" for future probes into middle-tier pay-to-play schemes, McDermott Will & Schulte partner Julian André said during the firm's webinar last week.

The U.S. wine market will drop for a sixth consecutive year in 2026, with total depletions falling below 300 million cases for the first time in 20 years after a projected 3.6% decline this year, per Shanken's Impact Databank Review & Forecast. The report expects the decline to slow to under 2% annually through 2030, driven by wine-based cocktails, which are forecast to reach nearly 11% of total wine volume by the end of the decade, up from 6% last year. In wine, offerings below $16 keep struggling while the $20-$30 band posted 0.9% revenue growth; in spirits, 61% of volume comes from brands priced under $20 a bottle and only 6.5% from products at $50 or more.
