Court clears $14.5M sale of RNDC's 17-state Control States business to Martignetti
The U.S. Bankruptcy Court for the Southern District of Texas approved the sale of all of Republic National Distributing Co.'s Control States brokerage assets to Martignetti Companies on Sept. 18, covering operations across 17 states for $14.5 million in cash plus the cost of eligible inventory (estimated at about $2 million as of July 31) and the assumption of certain liabilities. RNDC, which filed for Chapter 11 on July 26 to pursue sales and an orderly wind-down, estimated its bankruptcy estates would net more than $11 million after payments to nondebtor sellers and expenses; all Control States employees will move to Martignetti. Investment banker Lazard contacted more than 50 potential buyers and signed confidentiality agreements with more than 25, and Martignetti submitted the only actionable proposal for the business as a single package. The court conditionally approved RNDC's amended disclosure statement Sept. 10 and set a combined disclosure-statement and plan-confirmation hearing for Oct. 22 at 1 p.m. Central in Houston, with a creditor claims deadline of Oct. 9; the proposed plan includes settlements with RNDC's ownership groups contributing $50.25 million in cash to the estates.

California farmers have removed or stopped actively growing wine grapes on roughly 25% of the state's vineyards, down from a pandemic peak of nearly 600,000 acres, as U.S. wine case sales fell 23% from 427 million in 2020 to 329 million in 2025, per First Citizens Bank. About half of this year's crop entered harvest without buyer contracts, versus 70 to 80% in a typical year, said Allied Grape Growers president Jeff Bitter, leaving some growers to sell at a loss or leave grapes on the vine.
